AGREEMENT
This Shop Rent Agreement (“Agreement”) is executed on

The Landlord and Tenant are collectively referred to as the “Parties.”

the Landlord is the lawful owner/authorized person in respect of the shop

the Tenant has approached the Landlord for taking the said premises on
rent for carrying out lawful shop/business activities.

the Landlord has agreed to let out the premises to the Tenant on the terms

10. WATER AND OTHER UTILITY CHARGES
Water, internet, telephone, gas, sewerage, maintenance and
other utility charges relating to the Tenant's use shall be borne by the Tenant
as applicable.
11. MAINTENANCE

Routine maintenance relating to the Tenant's use shall be
borne by the Tenant, while major structural repairs shall be the responsibility
of the Landlord unless caused by the Tenant.
12. SHOP USE

purposes and shall comply with all applicable laws, building rules and local
authority requirements.
13. BUSINESS ACTIVITIES
The Tenant shall conduct the following business from the

without the Landlord's prior written consent where such consent is required.
14. COMPANY / GST / BUSINESS REGISTRATION
The Tenant may use the premises as its shop/business address
for GST, company registration, trade licence, bank correspondence and other
lawful registrations, only with the Landlord's written consent wherever
required.
15. SIGNBOARD
The Tenant may install its shop/business signboard with the
Landlord's permission and subject to applicable building, municipal and local
authority rules.
16. EMPLOYEES
The Tenant may permit its employees, staff, consultants and
authorized representatives to use the premises for shop work.
The Tenant shall be responsible for their conduct.
17. CLIENTS AND VISITORS
The Tenant may receive customers, clients, vendors and
visitors during reasonable shop hours, subject to security and building rules.
18. NO SUB-LETTING
The Tenant shall not sub-let, assign, transfer or license
the premises or any part thereof to any third party without prior written
consent of the Landlord.
19. ALTERATIONS
The Tenant shall not make any structural alteration,
addition or permanent modification to the premises without prior written
permission of the Landlord and necessary approvals.
20. FURNITURE AND FIXTURES
The furniture, fixtures and equipment provided by the
Landlord shall remain the property of the Landlord.
The Tenant shall maintain the same properly and return them
upon termination, subject to normal wear and tear.
21. CLEANLINESS
The Tenant shall keep the shop premises clean and hygienic
and shall properly dispose of waste.
22. DAMAGE
Any damage to the premises, furniture, fixtures, electrical
fittings, doors, windows or other property caused by the Tenant, its employees,
agents, clients or visitors shall be repaired at the Tenant's cost.
23. PROHIBITED ACTIVITIES
The Tenant shall not:
a. Carry out any illegal activity;
b. Store explosives, inflammable or hazardous materials;
c. Create nuisance or excessive disturbance;
d. Use the premises for residential purposes;
e. Conduct activities prohibited by law or building
regulations;
f. Cause damage to common areas or other occupants.
24. FIRE AND SAFETY
The Tenant shall comply with applicable fire-safety
requirements and shall not block emergency exits, stairways or common passages.
25. TAXES AND LICENSES
Property ownership-related taxes shall be borne by the
Landlord. Business-related taxes, GST, professional taxes, licences,
registrations and statutory dues of the Tenant shall be borne by the Tenant.
26. INSURANCE
The Tenant shall be responsible for insurance of its
computers, equipment, documents, stock, furniture and other business assets,
wherever required.
27. SECURITY
The Tenant shall take reasonable precautions for the
security of its employees, documents, computers, equipment and other
belongings.
28. INSPECTION BY LANDLORD
The Landlord may inspect the premises at reasonable times
after giving reasonable notice to the Tenant, except in case of emergency.
29. QUIET ENJOYMENT
Subject to compliance with this Agreement, the Tenant shall
peacefully use and occupy the premises during the tenancy period without
unlawful interference.
30. PARKING
Parking facilities, if available, shall be provided as

31. RENT PAYMENT DEFAULT
If the Tenant fails to pay rent within the agreed time, the
Landlord may issue a written demand and take appropriate lawful action.
32. LATE PAYMENT PENALTY
In case of delay in payment of rent beyond the due date, the
Tenant shall pay:

33. TERMINATION
This Agreement may be terminated:
a. On expiry of the agreed term;
b. By mutual written consent;
c. By giving the agreed notice;
d. For non-payment of rent;
e. For material breach of the Agreement;
f. For unlawful use of the premises; or
g. On any other ground permitted by applicable law.
34. VACATING THE SHOP
Upon expiry or termination, the Tenant shall vacate the
premises peacefully and hand over vacant possession along with keys, access
cards, fixtures and other items belonging to the Landlord.
35. RESTORATION
The Tenant shall remove its belongings and restore
unauthorized alterations or modifications before handing over possession,
unless otherwise agreed in writing.
36. REFUND OF SECURITY
The security deposit shall be refunded within ____________
days from the date of vacant possession after adjustment of lawful
outstanding dues, damages and other charges.
37. HOLDING OVER
The Tenant shall not continue to occupy the premises after
expiry/termination without the Landlord's written consent. Continued occupation
shall be dealt with in accordance with applicable law.
38. FORCE MAJEURE
Neither Party shall be liable for delay or failure caused by
circumstances beyond reasonable control, including natural disasters, fire,
flood, war, riots, government restrictions, epidemics or similar events.
39. INDEMNITY
The Tenant shall indemnify the Landlord against claims,
losses, penalties, damages or liabilities arising from the Tenant's business
activities, negligence, unlawful acts or breach of this Agreement.
40. NO PARTNERSHIP
Nothing contained in this Agreement shall create a
partnership, joint venture, employment or agency relationship between the
Parties.
41. ASSIGNMENT
The Tenant shall not assign or transfer its rights under
this Agreement without prior written consent of the Landlord.
42. NOTICES
All notices shall be given in writing and delivered by hand,
registered post, courier, email or any other mutually accepted mode to the
addresses/contact details of the Parties.
43. AMENDMENT
Any amendment or modification to this Agreement shall be
valid only if made in writing and signed by both Parties.
44. ENTIRE AGREEMENT
This Agreement constitutes the complete understanding
between the Parties concerning the shop premises and supersedes prior oral or
written arrangements concerning the same subject matter.
45. SEVERABILITY
If any provision of this Agreement is held invalid or
unenforceable, the remaining provisions shall continue to remain effective to
the extent permitted by law.
46. DISPUTE RESOLUTION
The Parties shall first attempt to resolve any dispute
through mutual discussion and negotiation. If the dispute remains unresolved,
either Party may seek appropriate legal remedies.
47. JURISDICTION
Subject to applicable law, the competent courts at ____________
shall have jurisdiction over disputes arising from this Agreement.
48. GOVERNING LAW
This Agreement shall be governed by and construed in
accordance with the applicable laws of India.
49. VOLUNTARY EXECUTION
Both Parties confirm that they have read and understood all
the terms and conditions of this Agreement and are executing the same
voluntarily and without force, fraud, coercion or undue influence.
